1. Acceptance of Terms

By registering for, accessing, or using the Listaris platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not accept them and may not use the Service.

2. Description of Service

Listaris is a third-party, B2B Software-as-a-Service (SaaS) platform that provides e-commerce merchants with tools to manage listings, process orders, analyze sales data, and automate customer communications across multiple marketplace accounts. Listaris is an independent service provider and is not affiliated with, endorsed by, or sponsored by eBay Inc. or any of its subsidiaries.

3. Account Registration & Security

You must provide accurate, current, and complete information during the registration process.
You are solely responsible for maintaining the confidentiality of your account credentials, including OAuth tokens generated for marketplace connections.
You are strictly liable for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4. Acceptable Use Policy

When using the Service, you agree that you will not:

Violate any applicable laws, regulations, or third-party marketplace policies (including eBay's User Agreement).
Use the Service to transmit spam, fraudulent listings, or malicious automated requests.
Attempt to reverse engineer, decompile, hack, disable, or disrupt the integrity or performance of the Service.
Exceed API rate limits intentionally or use the Service in a manner that places an unreasonable load on our infrastructure.

We reserve the right to immediately suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.

5. Subscription, Billing, & Refunds

Access to Listaris requires a paid subscription. By providing a payment method, you authorize us to charge the applicable subscription fees on a recurring basis (monthly or annually) until you cancel.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle.
Refunds: All payments are non-refundable. We do not provide prorated refunds for partial months of service.
Price Changes: We reserve the right to modify our subscription prices with 30 days' advance notice to active users.

6. Data Ownership & Privacy

You retain full ownership of all marketplace data, listings, and customer information you connect to Listaris. By connecting your marketplace accounts, you grant Listaris a limited, non-exclusive license to fetch, process, and store this data solely for the purpose of providing the Service to you. 7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Listaris makes no warranties, express or implied, regarding the availability, reliability, or accuracy of the platform. We do not guarantee that the Service will be error-free or uninterrupted, nor do we guarantee any specific increase in sales, ranking, or marketplace performance. Listaris is not responsible for any actions taken by third-party marketplaces (such as account suspensions or listing removals) resulting from your use of the Service.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall Listaris, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or data. In no event shall our total liability to you exceed the amount you paid to us in the past twelve (12) months.

9. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by emailing the address associated with your account or by prominently posting a notice on the Service. Your continued use of the Service after such modifications constitutes your acknowledgment and acceptance of the updated Terms.
